Plain-language notice

This document is written to make our operating position clear. If a separate signed agreement applies to a transaction, that agreement may add to or override the relevant commercial terms.

01

Agreement and eligibility

These Terms of Service govern access to Foodversy, a B2B food trade platform operated by Socratech Yazılım Teknoloji Sanayi ve Ticaret A.Ş.. By accessing or using Foodversy, creating an account, submitting a request, or using our trade desk, you agree to these terms. If you act for a company, you confirm that you are authorized to bind that company.

Foodversy is intended for adults acting in a professional or commercial capacity. You must provide accurate, current information and comply with laws applicable to your organization and activities.

02

What Foodversy provides

Foodversy provides tools for product discovery, supplier and buyer matching, quotation requests, stock and sourcing enquiries, trade intelligence, messaging, administrative workflows, and broker or trade desk support. Features may evolve, be added, or be withdrawn as the service develops.

Unless Foodversy expressly signs a separate written agreement as seller, buyer, broker, or agent, Foodversy is a technology and operational coordination platform. A listing, match, email, draft offer, or platform message does not by itself create a binding sale or purchase contract.

03

Accounts and access

You are responsible for safeguarding credentials, restricting access to authorized personnel, and all activity conducted through your account. Tell us promptly if you suspect unauthorized access. We may request verification of identity, authority, company details, products, or trade documentation.

We may suspend access where reasonably necessary to protect users, investigate misuse, comply with law, address non-payment, or preserve platform integrity.

04

Trade information and transactions

Buyers, suppliers, and brokers are responsible for verifying counterparties, specifications, availability, samples, certifications, prices, taxes, sanctions, import or export rules, payment terms, insurance, logistics, and contract terms before completing a transaction.

Product data, market intelligence, indicative pricing, availability, and AI-assisted material may be incomplete or change without notice. Unless expressly agreed in writing, it is informational and should not replace legal, financial, customs, quality, or technical advice.

05

Platform and email communications

The service includes application-based messaging and email delivery between Foodversy, buyers, suppliers, brokers, and trade desk operators. You authorize us to transmit messages and related business information as needed to provide a workflow you initiate or participate in.

We may send operational messages and relevant B2B commercial communications as permitted by law. You can stop commercial email by replying with "unsubscribe" or contacting info@foodversy.com. Essential service and transaction messages may continue while you use the relevant service.

06

Acceptable use

You must not use Foodversy to:

  • Break applicable law, sanctions, export controls, or third-party rights.
  • Submit false identities, misleading trade information, unlawful products, or fraudulent requests.
  • Send spam, harassment, malware, or communications unrelated to legitimate B2B food trade.
  • Scrape, probe, disrupt, reverse engineer, or bypass access and security controls.
  • Copy or exploit platform data, content, or contacts outside the permitted service purpose.

We may remove content or restrict activity that creates legal, security, reputational, or operational risk.

07

Content and intellectual property

You retain ownership of content you submit. You grant Foodversy a non-exclusive license to host, process, reproduce, adapt, and share that content only as needed to operate, secure, and improve the service and complete the workflows you request. You confirm that you have the rights needed to provide the content.

Foodversy's software, design, databases, branding, editorial material, and platform content are owned by us or our licensors. No rights are granted except the limited right to use the service under these terms.

08

Third-party services

Foodversy may rely on hosting, email, analytics, authentication, payment, logistics, or other third-party services. Their availability and separate terms may affect parts of the platform. Links to external websites do not imply endorsement, and Foodversy is not responsible for their independent content or practices.

09

Availability and liability

We aim to provide a reliable and secure service, but Foodversy is provided on an "as available" basis. To the maximum extent permitted by law, we do not guarantee uninterrupted availability, a particular commercial outcome, counterparty performance, or the accuracy of third-party information.

To the maximum extent permitted by law, Foodversy and Socratech Yazılım Teknoloji Sanayi ve Ticaret A.Ş. will not be liable for indirect, consequential, special, or lost-profit damages arising from use of the service. Nothing in these terms excludes liability that cannot lawfully be excluded or limits mandatory consumer or data protection rights that apply.

10

Termination and changes

You may stop using the service at any time. We may suspend or terminate access for material breach, unlawful or harmful activity, security risk, prolonged inactivity, non-payment, or where required by law. Provisions that by their nature should survive termination will remain effective.

We may update these terms to reflect legal, security, or service changes. The effective date identifies the current version. Continued use after an update takes effect constitutes acceptance where permitted by law.

11

Governing law and contact

These terms are governed by the laws of the Republic of Türkiye, without prejudice to mandatory rights or rules that apply in another jurisdiction. The competent courts and authorities will be determined under applicable law and any separate written commercial agreement.

Questions about these terms can be sent to info@foodversy.com. Our Privacy Policy explains how we process personal data.
